1. These terms

These Terms & Conditions apply to the website tkc.services and to digital marketing services provided by TKC (Proprietorship), E 12/11, Sikar, Rajasthan, India.

If you engage us for services, the specific scope, deliverables, timeline, and fees will be set out in a proposal, quotation, invoice, or statement of work. If there is a conflict between these terms and a signed proposal, the signed proposal will control for that engagement.

2. Services

TKC provides digital marketing services that may include search engine optimization, AI search optimization (AEO/GEO), Google Ads, Meta Ads, social media, content, short-form video, branding, marketing automation, analytics, and conversion rate optimization.

Services are provided on the scope agreed in writing. Work outside the agreed scope may require a separate quotation and timeline.

3. Quotes and fees

• Quotations are based on the information you provide and are valid for the period stated in the quotation.
• Fees cover our professional services only unless the quotation says otherwise.
• Advertising spend, media budgets, software subscriptions, stock assets, printing, production, and other third-party costs are billed separately at actuals unless expressly included.
• Scope changes, additional channels, or urgent turnarounds may change the fee and timeline.
• Our standard engagements start with a 90-day initial term so the strategy has time to work, then continue month-to-month unless your proposal states otherwise.

4. Payments and taxes

• Payment terms, due dates, and the payment method are stated in the invoice or proposal.
• Applicable taxes, including GST where applicable, are charged in addition to professional fees unless stated otherwise.
• Work may be paused if invoices remain unpaid after the due date.
• Ad platform charges are payable by you directly or reimbursed by you at actuals, as agreed in writing.
• Late payments may attract reasonable administrative charges where permitted by law.

5. Client responsibilities

To deliver services effectively, you agree to:

• Provide accurate business information, brand assets, approvals, and access to relevant accounts.
• Respond to requests for feedback and approvals within reasonable timelines.
• Ensure you have the rights to use any content, images, logos, testimonials, or data you provide.
• Comply with the advertising policies of Google, Meta, and other platforms, and with applicable laws.
• Keep account credentials secure and notify us of any unauthorized access.

6. Timelines and revisions

Timelines are estimates based on the agreed scope and your timely input. Delays in feedback, access, approvals, or third-party platform reviews may extend timelines.

The number of revision rounds, if any, is stated in the proposal. Additional revisions or new directions may be billed separately.

7. Intellectual property

Upon full payment for the relevant services, you receive ownership of the final deliverables created specifically for you, unless the proposal says otherwise.

TKC retains ownership of its pre-existing tools, templates, frameworks, processes, know-how, and internal materials. Third-party assets remain subject to their own licenses.

Unless you ask us in writing not to, we may showcase non-confidential work in our portfolio and case studies. We will not publish confidential business information without permission.

8. Confidentiality

Each party may receive confidential information from the other. The receiving party will use it only for the engagement and will take reasonable steps to protect it. This obligation does not apply to information that is public, independently developed, or required to be disclosed by law.

9. Results disclaimer

Digital marketing outcomes depend on many factors outside our control, including your market, offer, pricing, competition, budget, website, sales process, and platform policies.

We do not guarantee specific rankings, traffic, leads, revenue, return on ad spend, or other results. Any examples, projections, or estimates are illustrative and not promises of future performance. Results vary by business.

10. Third-party platforms

We may work with third-party platforms such as Google, Meta, WhatsApp, hosting providers, and analytics tools. These platforms have their own terms and policies. We are not responsible for platform outages, policy changes, account restrictions, or decisions made by those platforms.

You are responsible for complying with platform advertising policies and for maintaining ownership and access to your accounts.

11. Limitation of liability

To the maximum extent permitted by law, TKC will not be liable for indirect, incidental, special, or consequential losses, including lost profits, lost revenue, lost data, or business interruption.

Our aggregate liability for a claim relating to the services will not exceed the professional fees paid by you for the affected services in the three months before the claim arose. This limitation does not apply where liability cannot be limited by law.

12. Term and termination

Engagements start with the initial term stated in the proposal. Unless the proposal says otherwise, our standard initial term is 90 days. After the initial term, engagements continue month-to-month.

Either party may end a month-to-month engagement with 30 days' written notice. We may suspend or terminate services for non-payment, unlawful instructions, abusive conduct, or material breach of these terms.

On termination, you remain responsible for fees for work completed and third-party costs already incurred. Refunds are governed by our Refund & Cancellation Policy.

13. Governing law

These terms are governed by the laws of India. Subject to applicable law, the courts at Sikar, Rajasthan, India will have jurisdiction over disputes arising from these terms or our services.
